Royal FrieslandCampina N.V. and PT Ultrajaya Milk Industry are deepening their cooperation in Indonesia. Upon completion of the transaction, FrieslandCampina will gain control of Ultrajaya. Frisian Flag Indonesia will become part of the Ultrajaya Group. Both companies will remain independent and retain their own brands, product portfolios, and organizations.
Ultrajaya is Indonesia’s largest group in the ready-to-drink segment. Within this group, FFI will gain access to a broader and more resilient platform. This platform serves consumers across the Indonesian archipelago.
The move strengthens the position of FrieslandCampina’s Business Group Asia. Both companies will work more closely together to create long-term value. FrieslandCampina aims to give more children and families in Asia access to nutritious dairy products.
The Members’ Council of Zuivelcoöperatie FrieslandCampina U.A. approved the transaction. The council represents the dairy farmers who jointly own FrieslandCampina.
Completion remains subject to approval by Ultrajaya’s General Meeting of Shareholders. Approval from the relevant Indonesian authorities is also required. Once control is obtained, a mandatory public offer will follow. FrieslandCampina will make this cash offer for shares held by minority shareholders.
Ultrajaya will remain a publicly listed Indonesian company. Its headquarters, management, and day-to-day operations will remain in Bandung. Co-founder Sabana Prawirawidjaja will remain President Director of Ultrajaya. The Prawirawidjaja family will remain an important long-term shareholder.
FFI has been part of Indonesian society for more than a century. The company is regarded as a trusted local dairy business. The partnership combines Ultrajaya’s market knowledge with FrieslandCampina’s experience in the dairy sector. Growth and decision-making will remain firmly rooted in Indonesia.
